(3a) In accordance with this Directive (Solvency II), which repeals Directive 2002/83/EC, pension activities that were previously subject to certain provisions of Directive 2002/83/EC are subject to the corresponding provisions of Solvency II. The economics-based provisions of Solvency II address the specificities of pension activities. Together with the review of Directive 2003/41/EC of the European Parliament and the Council of 3 June 2003 on the activities and supervision of institutions for occupational retirement provision, this Directive should therefore enhance the convergence of supervisory practices as regards insurance undertakings and pension funds. The review of Directive 2003/41/EC, which was due in 2007, should be carried out by the Commission with a view to enhancing the protection of policy holders, financial stability, market equity and the level playing field for all operators in the pension market, namely insurance undertakings or pension funds.

(70a) All supervisors involved in group supervision should be able to understand the decisions made, in particular when those decisions are made by the group supervisor. It is necessary, therefore, for all the supervisors concerned to share the same set of rights and duties and overall responsibility. It is also necessary that when it becomes available to one of the supervisors, all information is immediately shared with the other supervisors, in order for all supervisors to be able to establish an opinion based on the same information. In order to facilitate group supervision, the group supervisor and the other supervisory authorities concerned should set up a college of supervisors chaired by the group supervisor.

The Committee of European Insurance and Occupational Pensions Supervisors shall take decisions where appropriate on the basis of a qualified majority vote, based on a formula that takes into account: (a) the relative volume of the insurance sector’s assets in a Member State in relation to the total assets in the European Union; (b) the relative volume of deposits placed in a Member State in relation to the total volume of deposits in the European Union. 2. The Committee of European Insurance and Occupational Pensions Supervisors shall set up a mediation system for the resolution of conflicts between supervisors. 3. The Committee of European Insurance and Occupational Pensions Supervisors shall set up a complaint procedure for the supervised institutions as well as for collective complaints of representative organisations of consumers and users.

Article -181 General requirements relating to the provision of information 1. When an insurance undertaking provides information at its own initiative in the sector of life-insurance, or at the request of a policy holder it shall give the necessary information regarding the knowledge and experience of the policy holder or the potential policy holder linked to the specific nature of the service or the product, its financial situation and insurance objectives, so as to recommend to the policyholder an insurance policy that is suitable for that policyholder. 2. The information for policyholders shall be provided in a clear, concise and accurate manner. It shall be readily understandable by the policyholder and comply with the following conditions: (a) it shall enable the policyholder to understand the main features of the contract in order to assess whether the insurance contract would be appropriate to meet his or her needs and to compare different insurance offers; (b) it shall be submitted in writing or by email in an official language of the Member State of the commitment or of the Member State in which the risk is located; the indication of an email address by the policyholder shall be deemed to constitute agreement to receive the information by email. 3. The information may be in a language, other than one referred to in paragraph 2(b) if the policyholder so requests and the law of the Member State concerned so permits, or when the policyholder is free to choose the law applicable. 4. Member States shall determine the consequences of not providing the policyholders with the information required in accordance with Subsections 1 and 2.

Article 251a General objectives of the rights and duties assigned to the supervisory authorities – college of supervisors- the role of the Committee of European Insurance and Occupational Pensions Supervisors 1. The rights and duties assigned to the supervisory authorities concerned by the group supervision are intended to achieve the main objective of supervision as set out in Article 27, namely the protection of any policyholder and any beneficiary of any branch or subsidiary of the insurance undertaking, settled in any country of the European Union and which is included in the undertaking’s European Union supervision perimeter, financial stability and market equity. Those rights and duties assigned to the supervisory authorities include the definition of relevant coordination arrangements, the definition of the means of cooperating and exchanging of information between supervisory authorities concerned by an insurance or reinsurance undertaking, and of the means of consultation between them. 2. In order to facilitate group supervision, the group supervisor and other supervisory authorities concerned shall set up a college of supervisors chaired by the group supervisor. Without prejudice to measures adopted pursuant to this Directive, the cooperation, exchange of information and consultation processes between the group supervisor and the supervisory authorities concerned, including the processes related to the approval of the group internal model and the functioning of the group support regime, shall take place in accordance with the procedures to be defined in the formalisation of each college of supervisors. If and when the supervisor of a systemic branch is associated to a college of supervisors, it should be given a statute of observer and receive all appropriate information. The document that formalises the establishment of each college of supervisors may entrust additional tasks to the group supervisor and may specify, without prejudice to any measures adopted pursuant to this Directive, the procedures for the decision-making process among the supervisory authorities concerned as referred to in Articles 211(3), 212(2) and 213(2), Articles 214, 215 and 217, Articles 218(2), 219(2) and 225(2), Articles 236, 248 and 249, Article 251(3) and (4), and Articles 254, 263, and 264 and for cooperation with other supervisory authorities. 3. In the event that the supervisors gathered in a college cannot reach an agreement, any of those supervisors may elevate the issue to the CEIOPS and seek from it an opinion on what should be required to solve the specific situation. The group supervisor has the last say. In case he does not follow the opinion of the Committee of European Insurance and Occupational Pensions Supervisors, he has to formally explain his decision. 4. On the basis of the opinions it issued over time, CEIOPS shall regularly update the guidelines it works out in the prospect of a consistent, converging and effective implementation of EU prudential insurance regulations. 5. In order to assess the level of convergence on the European Union supervisory practices, their impact on fair competition throughout the European Union, and the actual capacity of all the supervisors to efficiently cooperate within the different colleges, CEIOPS shall regularly undertake an enquiry and report its conclusions to the European Parliament, the Council and the Commission. 6. The Commission shall adopt implementing measures for the coordination of group supervision for the purposes of paragraphs 1 and 2. The Commission shall also specify the relevant frequency of the assessment to be undertaken by CEIOPS as proposed in paragraph 5. Those measures, designed to amend non-essential elements of this Directive by supplementing it, shall be adopted in accordance with the regulatory procedure with scrutiny referred to in Article 304(3).
