This Directive shall apply to all financial transactions, on condition that at least one party to the transaction is established in a Member State andor that a financial institution established in the territory of a Member State is party to the transaction, acting either for its own account or for the account of another person, or is acting in the name of a party to the transaction.

Member States shall adopt and publish, by 31 December 20132 at the latest, the laws, regulations and administrative provisions necessary to comply with this Directive. They shall forthwith communicate to the Commission the text of those provisions and a correlation table between those provisions and this Directive.
