2. Member States shall ensure that where obligations apply to legal persons, in case of a breach, sanctions can be applied to the members of administrative, management or supervisory bodies of the legal person, and to any other person who under national law is responsible for the breach. These sanctions must be effective, proportional and dissuasive.
