PURPOSE: codification of the First Directive on co-ordination of safeguards which, for the protection of the interests of members and third parties, are required by Member States of companies within the meaning of the second paragraph of Article 48 of the Treaty, with a view to making such safeguards equivalent.

LEGISLATIVE ACT: Directive 2009/101/EC of the European Parliament and of the Council on coordination of safeguards which, for the protection of the interests of members and third parties, are required by Member States of companies within the meaning of the second paragraph of Article 48 of the Treaty, with a view to making such safeguards equivalent (codified version).

CONTENT: the purpose of this Directive is to undertake a codification of First Council Directive of 9 March 1968 on co-ordination of safeguards which, for the protection of members and others, are required by Member States of companies within the meaning of the second paragraph of Article 58 of the Treaty, with a view to making such safeguards equivalent throughout the Community.

The new Directive will supersede the various acts incorporated in it. The Directive fully preserves the content of the acts and hence does no more than bring them together with only such formal amendments as are required by the codification exercise itself.

Details

The European Parliament adopted, by 654 votes to 13 with 5 abstentions, a legislative resolution approving, under 1 st reading of the codecision procedure, the proposal for a directive of the European Parliament and of the Council on coordination of safeguards which, for the protection of the interests of members and third parties, are required by Member States of companies within the meaning of the second paragraph of Article 48 of the Treaty, with a view to making such safeguards equivalent (codified version).

The report had been table d for consideration in plenary by Lidia Joanna GERINGER de OEDENBERG (PES, PL) on behalf of the Committee on Legal Affairs. The proposal is approved as adapted to the recommendations of the Consultative Working Party of the Legal Services of the European Parliament, the Council and the Commission.

The Committee on Legal Affairs adopted the report by Lidia Joanna GERINGER de OEDENBERG (PES, PL) approving, at first reading of the codecision procedure, the proposal for a directive of the European Parliament and of the Council on coordination of safeguards which, for the protection of the interests of members and third parties, are required by Member States of companies within the meaning of the second paragraph of Article 48 of the Treaty, with a view to making such safeguards equivalent (codified version).

Although the proposal was not the subject to any ‘formal’ amendments by the committee, it incorporates the recommendations of the Consultative Working Party of the legal services of Parliament, the Council and the Commission.

LEGISLATIVE ACT: Directive 2009/101/EC of the European Parliament and of the Council on coordination of safeguards which, for the protection of the interests of members and third parties, are required by Member States of companies within the meaning of the second paragraph of Article 48 of the Treaty, with a view to making such safeguards equivalent (codified version). CONTENT: the purpose of this Directive is to undertake a codification of First Council Directive of 9 March 1968 on co-ordination of safeguards which, for the protection of members and others, are required by Member States of companies within the meaning of the second paragraph of Article 58 of the Treaty, with a view to making such safeguards equivalent throughout the Community. The new Directive will supersede the various acts incorporated in it. The Directive fully preserves the content of the acts and hence does no more than bring them together with only such formal amendments as are required by the codification exercise itself.
