(18) This Directive should not apply to micro, small and medium-sized enterprises (SMEs), as defined by Commission Recommendation 2003/361/EC of 6 May 2003 concerning the definition of micro, small and medium-sized enterprises, even if they are listed companies. To take account of the characteristics of the small business sector in some Member States, the number of employees in the definition of ‘SME’ should be raised to 500;

Recital 31
(31) Since the gender composition of the workforce has a direct impact on the availability of candidates of the under- represented sex, Member States may provide that where the members of the under-represented sex make up less than 140 per cent of the workforce the company concerned should not be required to meet the objective laid down in this Directive.

Article 2 – paragraph 1 – point 8
(8) ‘small and medium-sized enterprise’ or ‘SME’ means a company which employs less than 2500 persons and has an annual turnover not exceeding EUR 50 million or an annual balance sheet total not exceeding EUR 43 million, or, for an SME which is incorporated in a Member State whose currency is not the euro, the equivalent amounts in the currency of that Member State;
